These terms govern your use of codexlab.net and describe the general framework under which CODE X provides professional services. Please read them before using the site.

1. Who you are dealing with

This website is operated by CODE X SERVIÇOS DE INFORMÁTICA LTDA, a limited liability company registered in Brazil under CNPJ 38.541.384/0001-22, with registered address at Rua Joaquim Dias Centro 16, Sala 02 — Lucrécia/RN, 59805-000, Brazil (referred to here as "CODE X", "we" or "us").

2. Acceptance

By accessing this website you accept these terms. If you do not accept them, please do not use the site.

3. The website is informational

The content of this site describes our services and is provided for general information. It is not professional advice, and it does not constitute an offer capable of acceptance. We aim to keep the site accurate and available, but we do not guarantee uninterrupted access and we may change or withdraw content at any time without notice.

4. No contract is formed through this site

Submitting the contact form or sending us an email does not create a contract or a client relationship. Engagements begin only when both parties sign a separate written agreement, proposal or statement of work setting out scope, deliverables, timeline and fees. Where such an agreement conflicts with these terms, the signed agreement prevails.

5. Quotes, fees and payment

Fees are quoted in advance, either as a fixed price for a defined scope or as a recurring monthly amount. Unless the signed agreement states otherwise, invoices are payable within 15 days of issue, and taxes and bank or intermediary transfer fees are borne by the client. Work may be suspended on overdue invoices after written notice.

6. Intellectual property

All content on this website — including text, layout, source code, the CODE X name and the CODE X logo — belongs to CODE X and is protected by Brazilian and international copyright and trademark law. You may not reproduce, distribute or create derivative works from it without our prior written permission.

For client work, ownership of custom deliverables transfers to the client upon full payment, except for pre-existing components, open-source dependencies and general-purpose tools or know-how, which remain with their respective owners and which CODE X may continue to use. Licensing terms are set out in the relevant signed agreement.

7. Confidentiality

Information you share with us in the course of an enquiry or an engagement is treated as confidential and is not disclosed to third parties without your consent, except where disclosure is required by law.

8. Warranties and limitation of liability

This website is provided "as is", without warranties of any kind, express or implied. To the fullest extent permitted by Brazilian law, CODE X is not liable for indirect, incidental or consequential damages, or for loss of profit, revenue or data, arising from use of this website. Liability arising from a professional engagement is governed by the signed agreement for that engagement.

9. Third-party links

The site may link to third-party websites. We do not control them and are not responsible for their content, availability or privacy practices.

10. Privacy

Personal data is handled as described in our Privacy Policy, which forms part of these terms.

11. Changes

We may revise these terms from time to time. The revision date at the top of this page reflects the current version, and continued use of the site after a change constitutes acceptance of it.

12. Governing law and jurisdiction

These terms are governed by the laws of the Federative Republic of Brazil. Any dispute arising from them is subject to the courts of the district of the company's registered address, unless a mandatory rule of law provides otherwise.
